BiT Dealership Software Referral Program
Terms and Conditions
Effective Date: March 1, 2026
These Terms and Conditions govern participation in the BiT Dealership Software Referral Program (“Program”). By applying to or participating in the Program, you (“Participant”) agree to the following terms with BiT Software, Inc. (“BiT”).
1. Program Overview
The BiT Referral Program allows approved participants to refer prospective customers to BiT Dealership Software.
The goal of the program is to expand access to modern dealership management software for marine, golf cart, RV, powersports, and OPE dealerships through trusted industry advisors, consultants, accountants, and trainers.
Participation in the Program does not create any employment, joint venture, agency, or franchise relationship between the Participant and BiT.
2. Eligibility
Participants are typically professionals who advise or influence dealerships in operational or technology decisions, including but not limited to:
• Industry consultants
• Accountants and bookkeeping firms
• Business advisors or coaches
• Trainers and operational consultants
• Industry service providers
• Technology implementers
• Industry associations
BiT reserves the right to approve or deny any application at its sole discretion.
3. Referral Process
Participants may refer prospective customers to BiT by submitting contact information through the BiT Referral Program signup process or by introducing the dealership to BiT directly.
To qualify as a referral:
• The dealership must not already be actively engaged in the BiT sales process.
• The Participant must be the first party to introduce the dealership to BiT.
• The referral must be accepted and recorded by BiT.
BiT retains full control over all sales discussions, pricing, product demonstrations, and contract negotiations with prospective customers.
4. Referral Compensation
Approved participants may receive referral compensation for qualified referrals that result in a new BiT customer.
Compensation is defined as:
50% of the fourth month of the referred customer’s active BiT subscription fee.
Payment conditions:
• The referred dealership must sign a BiT subscription agreement.
• The dealership must successfully go live on BiT software.
• The dealership must remain an active paying customer through the fourth month of service.
Payments will typically be issued within 30 days following the customer's fourth month of active service.
No additional commissions, recurring payments, or residual payments are provided unless explicitly agreed to in writing by BiT.
5. Participant Responsibilities
Participants agree to:
• Represent BiT professionally and accurately
• Provide truthful information when discussing BiT products
• Avoid making promises, commitments, or guarantees on behalf of BiT
• Introduce potential customers in good faith
Participants are not responsible for selling, implementing, supporting, or servicing BiT software.
All software demonstrations, onboarding, and support remain the responsibility of BiT.
6. Marketing and Representation
Participants may reference their participation in the BiT Referral Program.
However, participants may not:
• Represent themselves as employees or agents of BiT
• Bind BiT to contracts or agreements
• Use BiT trademarks or branding without permission
• Misrepresent BiT’s products or capabilities
BiT reserves the right to request modification or removal of any marketing materials referencing BiT.
7. Non-Exclusivity
Participation in the BiT Referral Program is non-exclusive.
Participants are free to recommend other products or services. Likewise, BiT may maintain relationships with other referral participants serving similar industries.
8. Confidentiality
Participants may receive non-public information about BiT products, pricing, or business operations.
Participants agree not to disclose confidential information to third parties without written permission from BiT.
9. Termination
Either party may terminate participation in the Program at any time.
BiT reserves the right to terminate or suspend a Participant’s participation immediately if:
• The Participant misrepresents BiT
• The Participant engages in unethical or misleading business practices
• The Participant violates these Terms
Termination does not affect referral payments already earned for qualified referrals prior to termination.
10. Program Modifications
BiT may modify, update, or discontinue the Referral Program at any time.
Any changes to compensation or program structure will not affect referrals already approved prior to the change.
11. Independent Relationship
Participants are independent and are not employees, contractors, or agents of BiT.
Participants are responsible for their own taxes, business licenses, and legal compliance.
12. Limitation of Liability
BiT shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program.
13. Final Authority
All decisions regarding:
• Participant eligibility
• Referral qualification
• Compensation eligibility
• Program participation
are made at the sole discretion of BiT Software management, and such decisions are final.
14. Communications
By applying to or participating in the BiT Dealership Software Referral Program, the Participant agrees that BiT Software, Inc. may communicate with the Participant regarding program participation, referrals, and program updates.
Communications may occur through reasonable business channels, including:
• Email
• Telephone calls
• Text messages (SMS)
• Other electronic communications
By providing contact information, including a mobile phone number, the Participant consents to receive communications from BiT related to the administration of the Referral Program.
Standard message and data rates may apply to SMS communications. Participants may opt out of text messaging at any time by replying STOP or by contacting BiT directly.
Participants may also opt out of non-essential communications; however, doing so may limit BiT’s ability to administer participation in the Referral Program.
15. Acceptance
By submitting referrals, applying to, or participating in the BiT Dealership Software Referral Program, the Participant acknowledges that they have read and agree to these Terms and Conditions.
